1. Acceptance of Terms
By accessing or using Equity Coffee (the “Platform”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Platform.
2. Eligibility & Accounts
- You must be legally able to form a contract in your jurisdiction to use the Platform.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must provide accurate information and keep your profile details updated.
3. Platform Roles & Marketplace
The Platform supports multiple roles (e.g., Farmer, Trader, Roastery, Evaluator, Admin) and provides tools for inventory listings, evaluations, messaging, and transaction workflows.
- Marketplace listings may be public or restricted based on role, organization, and permissions.
- Deals and negotiations may require verified identities or additional documentation.
- Equity Coffee may moderate listings to prevent fraud, prohibited goods, or policy violations.
4. User Content & Evaluations
Users may submit content including listings, messages, contracts, and evaluation reports (including cupping scores). You retain ownership of your content, but you grant Equity Coffee a limited license to host, store, and display it for Platform operation.
- Evaluation content must be honest, non-manipulative, and based on actual sampling or documented procedures.
- Do not post confidential information you do not have the right to share.
5. Verification & Transparency
Equity Coffee may offer verification workflows (e.g., professional evaluator verification, organization verification, traceability). Verification improves trust but is not a guarantee of performance, quality, or future outcomes.
6. Payments, Fees & Pricing
Pricing, fees, subscriptions, and enterprise deployments may vary by partner, region, and agreement. When applicable, fees will be displayed before you confirm a purchase or subscription.
- Some features may be free, optional, or subject to negotiated enterprise terms.
- Taxes, duties, and bank fees may apply depending on your country and payment method.
7. Contracts, Shipments & Invoices
The Platform may provide templates or tools for generating contracts, shipment records, and invoices. Parties are responsible for ensuring correctness and legal compliance of transaction documents.
- Equity Coffee is not a freight forwarder, customs agent, or insurer unless explicitly stated in writing.
- Shipment timelines, quality retention, and delivery outcomes depend on third-party logistics providers.
- Invoices generated on the Platform may be “system records” and may need additional signatures or stamps depending on jurisdiction.
8. Acceptable Use
You agree not to misuse the Platform. This includes, but is not limited to:
- Fraud, misrepresentation, or impersonation
- Posting false listings, fake evaluations, or manipulated pricing signals
- Harassment, hate, threats, or abusive content
- Uploading malware, scraping, or attempting unauthorized access
- Violating laws related to trade, sanctions, export controls, or prohibited goods
9. Intellectual Property
The Platform, including branding, UI, software, and documentation, is owned by Equity Coffee or its licensors and is protected by law. You may not copy, reverse engineer, or redistribute Platform materials except as allowed by applicable law or written permission.
10. Privacy
Our Privacy Policy explains how we handle personal data. Please review Privacy Policy. If there is a conflict between these Terms and the Privacy Policy, these Terms control for Platform use.
11. Suspension & Termination
We may suspend or terminate access to the Platform if we reasonably believe you violated these Terms, created risk or legal exposure, or used the Platform in a fraudulent or harmful way.
12. Disclaimers
The Platform is provided “as is” and “as available”. Equity Coffee does not warrant that the Platform will be uninterrupted, error-free, or that listings/evaluations will always be accurate.
13. Limitation of Liability
To the maximum extent permitted by law, Equity Coffee will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.
14. Indemnity
You agree to defend, indemnify, and hold harmless Equity Coffee and its affiliates from claims, damages, liabilities, and expenses arising from your use of the Platform, your content, or your violation of these Terms.
15. Dispute Resolution
Disputes should first be addressed through good-faith negotiation. If unresolved, disputes may be subject to mediation, arbitration, or court proceedings depending on your jurisdiction and the governing law clause you adopt.
